We are a blank check company formed in May 2017. We intend to focus our search on businesses in the energy or energy-related industries with an emphasis on opportunities in the upstream oil and gas industry in North America where our management team's networks and experience are suited although our efforts to identify a prospective target business will not be limited to a particular industry or geographic region. Although we anticipate acquiring a target business that is an operating business, we are not obligated to do so and may determine to merge with or acquire a company with no operating history if the terms of the transaction are determined by us to be favorable to our public stockholders and the target business has a fair market value of at least 80% of the assets held in the trust account at the time of the agreement to enter into the initial business combination. Kenneth DeCubellis, our Chairman and CEO, has over 30 years of experience, primarily in the oil and gas and other energy-related industries, including 10 years at Exxon Mobil. Mr. DeCubellis has served as CEO of our sponsor, Black Ridge Oil & Gas (OTC: ANFC), since November 2011.
